These Terms of Service ("Terms") constitute a legally binding agreement between you and Garment SME Technologies Pvt. Ltd. ("Garment SME", "we", "us") regarding your use of the Garment SME platform, mobile applications, and related services (collectively, the "Service").

By creating an account, accessing the Service, or clicking "I agree", you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

You must be at least 18 years old and authorized to bind your organization to a contract to use the Service.

You agree to provide accurate, current, and complete information when registering, and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.

Garment SME reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations only.

You will not (a) reverse-engineer, decompile, or attempt to extract the source code of the Service; (b) resell, sublicense, or commercially exploit the Service; (c) use the Service to build a competing product; (d) circumvent any technical or access restrictions.

Subscription fees are billed in advance on a monthly or annual basis depending on the plan you choose. All fees are stated in Indian Rupees (₹) and exclusive of applicable taxes including GST.

You authorize us to charge your designated payment method automatically at the start of each billing period. Invoices and GST documents are emailed to the billing contact within 48 hours of payment.

Fees are non-refundable except as expressly stated in these Terms or required by applicable law. Downgrades take effect at the end of the current billing cycle.

New customers may be eligible for a 14-day free trial of the Professional plan. No payment method is required to start the trial.

At the end of the trial, your workspace will be moved to a read-only state until a paid plan is selected. Your data is retained for 90 days, after which it may be permanently deleted.

You retain all rights, title, and interest in the data you upload to or generate through the Service ("Customer Data"). Garment SME processes Customer Data solely to provide and improve the Service, in accordance with our Privacy Policy and applicable laws including India's Digital Personal Data Protection Act, 2023.

We will not access, view, or share Customer Data except (a) as required to provide support you request; (b) to investigate security incidents or fraud; (c) as required by law or valid legal process.

You can export your Customer Data at any time in CSV or JSON format via the Service or by emailing support@garmentsme.in.

We target 99.9% monthly uptime, excluding scheduled maintenance windows announced at least 48 hours in advance.

If we fall short of the target in a given calendar month, eligible customers on the Enterprise plan may request service credits as outlined in their separate Service Level Agreement.

The Service may be unavailable from time to time due to factors beyond our reasonable control, including ISP outages, force majeure events, and emergency maintenance.

You agree not to use the Service to (a) violate any law, regulation, or third-party right; (b) transmit malware, viruses, or harmful code; (c) interfere with the operation of the Service or other customers' use of it; (d) attempt to gain unauthorized access to our systems or networks.

We reserve the right to remove content, suspend accounts, and report unlawful activity to authorities at our sole discretion.

The Service, including its software, design, trademarks, logos, and documentation, is owned by Garment SME and protected by Indian and international copyright, trademark, and other intellectual property laws.

You may not use our trademarks or branding without prior written consent except where expressly permitted (for example, in case studies or testimonials with our approval).

To the maximum extent permitted by law, Garment SME and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from or related to your use of the Service.

Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

You may cancel your subscription at any time from the billing settings of your workspace. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or engage in conduct that we reasonably believe may harm us, the Service, or other customers.

Upon termination, you may export your Customer Data for 90 days, after which it will be deleted from active systems and from backups within an additional 30 days.

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Any dispute will be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

Before initiating any legal proceedings, the parties agree to attempt resolution through good-faith negotiation for at least 30 days.

We may update these Terms from time to time. If we make material changes, we will notify you at least 30 days before the changes take effect via email and an in-app banner.

Continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those changes.
